Entity structure

“Caldwell Heritage” is used on this website as a single brand. Behind that brand are two affiliated but legally separate entities, and which one you are dealing with depends on the service.

  • Caldwell Heritage LLC is the parent and ownership entity. It owns and operates businesses and real estate for the long term, and it is the entity that evaluates and makes acquisitions, whether directly or through an acquisition subsidiary.
  • Caldwell Heritage Advisory LLC is an affiliate of Caldwell Heritage LLC and is the provider of all advisory services described on this website, including the Owner Independence assessment and any implementation engagement.

Advisory proposals, engagement agreements, invoices, and service contracts are issued by and contracted with Caldwell Heritage Advisory LLC. Letters of intent, purchase agreements, and other acquisition documents are issued by Caldwell Heritage LLC or the applicable acquisition subsidiary, and not by Caldwell Heritage Advisory LLC.

Neither entity guarantees or is liable for the obligations of the other except where it has expressly agreed to do so in writing.

Nature of services

Across the two entities, activities fall into three areas: owning and operating businesses and real estate for the long term; providing operational advisory and implementation services to business owners; and, where the fit is right, acquiring businesses as a principal buyer for the group’s own portfolio.

Advisory services

Advisory work is provided by Caldwell Heritage Advisory LLC and consists of operational and organizational business consulting and implementation support. It includes assessment of owner dependence, organizational design, process and systems development, management reporting, leadership development, and related operating work.

Advisory services do not include

  • Legal advice or legal services of any kind
  • Tax advice, tax planning, or tax preparation
  • Accounting, audit, attest, or assurance services
  • Investment advice or securities recommendations
  • Business brokerage, intermediary, or seller representation services
  • Business valuation, appraisal, fairness opinions, or certified valuation of any kind
  • Insurance, estate planning, or financial planning services

Clients should retain their own attorney, certified public accountant, tax advisor, and financial advisor for those matters. Nothing provided by Caldwell Heritage Advisory LLC substitutes for that professional advice.

Advisory is independent of acquisition

Advisory services and acquisitions are provided by different entities. Engaging Caldwell Heritage Advisory LLC carries no requirement, expectation, or obligation that a client sell their business to Caldwell Heritage LLC or to any other party. Advisory work is intended to make a business stronger and more transferable regardless of the owner’s eventual path, whether that is continuing to own it, transferring it to family or management, or selling it to a third party.

Any discussion of a potential acquisition is a separate matter with a separate entity, Caldwell Heritage LLC. It is evaluated separately, on its own record, and initiated only if an owner chooses to raise it. Advisory inquiries are routed to Caldwell Heritage Advisory LLC and acquisition inquiries to Caldwell Heritage LLC, and the two are kept separate.

Acquisition activity

Caldwell Heritage LLC acquires select businesses for its own long-term portfolio. Caldwell Heritage Advisory LLC does not act as a business broker or represent owners in the sale of their businesses.

Where Caldwell Heritage LLC explores the purchase of a business, it does so as a potential principal buyer acquiring for its own long-term account. Neither entity represents sellers, markets businesses for sale, or receives commissions or success fees in connection with the sale of a business.

Because Caldwell Heritage LLC would be the buyer rather than the seller’s representative, its interests in any such transaction are its own. Owners considering a sale should retain independent legal, tax, and financial advisors.

Nothing on this website constitutes an offer to buy or sell any business, an offer to sell securities, a solicitation of an offer to buy securities, or an invitation to invest in Caldwell Heritage or any affiliated entity. Caldwell Heritage is not offering investment opportunities to the public through this site. Any transaction would be governed exclusively by definitive written agreements.

No guarantees of outcome

Descriptions of methods, frameworks, scores, timelines, and outcomes on this website are general and illustrative. Results depend on factors specific to each business and on the client’s own implementation. Caldwell Heritage does not guarantee any particular operational result, increase in business value, transaction outcome, or sale price.

Confidentiality

We handle inquiries discreetly and limit access to those who need the information to evaluate and respond. Submission of an inquiry does not itself create a confidentiality agreement. We will enter into an appropriate non-disclosure agreement before requesting detailed confidential business information. Please do not submit confidential financial statements, customer lists, or other sensitive business records through the website contact form.

Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict of laws provisions. Any dispute arising from use of this website will be brought in the state or federal courts located in Hillsborough County, Florida.
